These Terms and Conditions govern your use of the Veyra platform. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing or using the Veyra platform at veyraweb.com (the "Platform"), you ("User", "Buyer", or "Seller") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and Veyra Technologies Pvt. Ltd. ("Veyra", "Company", "we", "our", or "us"), a company incorporated in India.

We reserve the right to modify these Terms at any time. Material changes will be communicated with 30 days' notice. Your continued use after the effective date constitutes acceptance of the revised Terms.

2. Eligibility

To use the Veyra Platform, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Platform under applicable laws
  • Provide accurate and complete registration information

    • By creating an account, you represent and warrant that you meet all eligibility requirements. Veyra reserves the right to terminate accounts that do not meet these requirements.

    3. Platform Description

    Veyra is an AI-powered agentic commerce platform that uses artificial intelligence (specifically Google Gemini AI) to facilitate the discovery and purchase of digital goods and services. The Platform provides:

    For Buyers:

  • An AI agent interface to search and purchase digital goods through natural conversation
  • Access to a network of verified sellers of digital products, software licenses, SaaS subscriptions, hosting services, and related digital goods
  • Secure payment processing via Razorpay
  • Order management and transaction history

    • For Sellers:

  • A seller portal to list and manage digital product offerings
  • API integration capabilities to connect existing product catalogs
  • Access to a qualified buyer base
  • Analytics and order management tools

    • Veyra acts as a commerce facilitator and is not itself a buyer or seller of goods. Contracts for the purchase and sale of goods are between buyers and sellers directly. Veyra is not a party to such contracts and is not responsible for the actions or omissions of buyers or sellers.

    4. AI Agent Terms

    The Veyra AI agent ("Agent") uses large language model technology to assist with product discovery and commerce. By using the Agent, you acknowledge:

    Nature of AI: The Agent's responses are generated by AI and may not always be perfectly accurate. The Agent may make errors in product descriptions, pricing, or availability. Always verify critical information before completing a purchase.

    Agent Authority: When you authorize the Agent to place an order on your behalf, you are providing explicit consent for that specific transaction. The Agent will always present an order confirmation before any payment is charged.

    Conversation Data: Your conversations with the Agent are processed to fulfill your requests and improve the Platform. See our Privacy Policy for details.

    AI Limitations: The Agent cannot guarantee product availability, negotiate prices beyond seller-defined parameters, or override seller policies. The Agent's recommendations are based on available seller data and may not represent all available options in the market.

    No Professional Advice: The Agent does not provide legal, financial, tax, or professional advice. Recommendations are for informational and commerce purposes only.

    5. Buyer Terms

    As a buyer on the Veyra Platform, you agree to:

    Payment Obligations: Pay for all orders you authorize through the Platform. Payment is processed via Razorpay and is subject to Razorpay's terms of service.

    Accurate Information: Provide accurate contact and payment information. Fraudulent orders will result in immediate account termination and potential legal action.

    Appropriate Use: Use purchased digital goods only in accordance with the seller's license terms and applicable law.

    Refunds and Disputes: Refund eligibility is determined by individual seller policies, which are presented before purchase confirmation. Veyra may facilitate dispute resolution but is not obligated to issue refunds on behalf of sellers.

    Account Security: Keep your account credentials secure. You are responsible for all activity under your account.

    6. Seller Terms

    As a seller on the Veyra Platform, you agree to:

    Eligibility and Verification: Complete Veyra's seller verification process truthfully. Misrepresentation of your business or products will result in immediate removal.

    Product Accuracy: Provide accurate, complete, and current product descriptions, pricing, and availability through your registered API endpoints.

    Order Fulfillment: Fulfill all orders placed through the Platform promptly and as described. Failure to fulfill orders may result in suspension.

    Legal Compliance: Sell only products and services you are legally authorized to sell. Do not list counterfeit, illegal, or unauthorized software or digital goods.

    API Reliability: Maintain the availability and accuracy of your product API endpoints. Veyra is not liable for order failures resulting from seller API downtime or incorrect data.

    Prohibited Products: You may not list: cracked software, stolen credentials, fraudulent services, pirated content, or any goods that violate applicable law or Veyra's policies.

    Commission and Fees: Seller fees are governed by the separately agreed Seller Agreement. Veyra reserves the right to adjust fees with 30 days' notice.

    7. Payments and Fees

    TL;DR Key TakeawayAll transactions are processed in Indian Rupees (INR) via Razorpay. Pricing inclusions depend on individual seller GST registration statuses.

    Payment Processing: All payments are processed by Razorpay, a third-party payment gateway. By making a payment, you agree to Razorpay's terms of service and privacy policy.

    Currency: All transactions on the Platform are denominated in Indian Rupees (INR) unless otherwise specified.

    Pricing: Prices are set by sellers and may change at any time. The price displayed at the time of your order confirmation is the price you will be charged.

    Taxes: Prices displayed may or may not include applicable taxes (GST). Tax treatment depends on the nature of the product and the buyer's and seller's locations. Veyra is not responsible for tax compliance on behalf of buyers or sellers.

    Refunds: Refunds, if applicable, are governed by individual seller refund policies. Processing times depend on the payment method and may take 5-10 business days.

    Failed Payments: If a payment fails, your order will not be processed. Veyra is not liable for losses resulting from payment failures.

    8. Intellectual Property

    Veyra IP: All content on the Platform including our AI models, software, design, logos, and trademarks are the property of Veyra Technologies Pvt. Ltd. and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

    Seller IP: Sellers retain ownership of their product listings and content uploaded to the Platform. By listing on Veyra, sellers grant Veyra a non-exclusive license to display, reproduce, and promote their listings within the Platform.

    User Content: Any feedback, reviews, or content you submit grants Veyra a non-exclusive, royalty-free license to use such content to improve the Platform.

    Third-Party Products: Digital goods purchased through the Platform are subject to the intellectual property terms of the respective sellers and software publishers.

    9. Prohibited Uses

    You may not use the Platform to:

  • Violate any applicable laws or regulations
  • Impersonate any person or entity
  • Engage in fraudulent activities or misrepresent information
  • Attempt to gain unauthorized access to any part of the Platform or other users' accounts
  • Upload malware, viruses, or harmful code
  • Circumvent any Platform security measures
  • Scrape, crawl, or extract data from the Platform without authorization
  • Use the AI agent for any purpose other than legitimate commerce
  • Harass, abuse, or harm other users or sellers
  • Engage in any activity that interferes with the proper functioning of the Platform

    • 10. Limitation of Liability

    TL;DR Key TakeawayThe platform operates on an 'as-is' standard. Veyra's liability maxes out at the prior 12 months' platform fees paid by you.

    Disclaimer of Warranties: The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

    Limitation: To the maximum extent permitted by law, Veyra's total liability to you for any claims arising from your use of the Platform shall not exceed the amount you paid to Veyra in the 12 months preceding the claim.

    Exclusions: Veyra is not liable for: indirect, incidental, special, consequential, or punitive damages; loss of profits, data, or goodwill; or damages resulting from seller actions, product defects, payment processing failures, or AI agent errors.

    Essential Basis: These limitations reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Veyra.

    11. Governing Law & Disputes

    Governing Law: These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.

    Dispute Resolution: Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting [email protected]. We will attempt to resolve disputes within 30 days.

    Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

    Class Action Waiver: You agree to resolve disputes with Veyra on an individual basis and waive the right to participate in class action proceedings.

    12. Termination

    Veyra may suspend or terminate your account at any time, with or without notice, for violations of these Terms, fraudulent activity, or any reason we deem necessary to protect the Platform and its users.

    You may close your account at any time by contacting [email protected]. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including payment obligations, IP rights, and limitation of liability) will survive.
